TERMS AND CONDITIONS

By registering for access to On-Line Tools, you agree to the following:

1. Access: RTSI will provide registrant (herein after referred to as Customer with access to load, invoice, payment, and accessorial information via the Internet at http://www.reliabletrans.com/tracking/ (herein after referred to as "On-Line Tools"). Accessible information will be limited to information specifically related to business transactions between Customer and RTSI. Access will be granted to individual Customer employees as specified by Customer. Customer assumes responsibility for notifying RTSI when Customer employees become ineligible for access to On-Line Tools due to termination, reassignment, or any other reason deemed applicable by Customer. RTSI agrees to remove User ID's and passwords within one business day of receipt of notification by Customer to RTSI either in writing or by e-mail.

2. Charges: Internet access to RTSI's On-Line Tools will be provided to Customer at no charge.

3. Term: This agreement shall remain in effect until either party terminates this Agreement , with or without cause, by giving written notice of termination to the other party not later than thirty (30) days prior to the effective termination date.

4. Indemnification and Insurance: RTSI hereby indemnifies and holds Customer harmless from and against all claims, liabilities, losses, damages and expenses suffered or incurred by RTSI related to Customer's use of On-Line Tools. Customer hereby indemnifies and holds RTSI harmless from and against all claims, liabilities, loses, damages, and expenses incurred by Customer arising out of Customer's use of or access to On-Line Tools, including, but not limited to, costs or damages resulting from access to or use of On-Line Tools by previously authorized Customer employees or unauthorized Customer employees due to the sharing of user ID's and passwords, and costs or damages related to the downloading of any software onto Customer computers.

5. Assignment: This Agreement may not be assigned except that this Agreement may be assigned by RTSI to any Parent, Affiliate or any other entity of RTSI upon written notice to Customer, and may be assigned by Customer to any purchaser of the business, so long as business is operated under the name used herein to identify Customer, upon written notice to RTSI.

6. Successors: This Agreement shall be binding upon and insure to the benefit of the parties hereto and their permitted successors and assigns.

7. Entire Agreement: This Agreement represents the entire Agreement between the parties and no representations have been made or relied upon by either party except as contained herein.

8. On-line registration for access to On-Line tools constitutes acceptance of this agreement by the registrant.

9. Representation of Customer: Customer hereby represents to RTSI that the registrants have the power and authority to enter into this agreement with RTSI.
